    Obtain husband's permission to open a business

    According to the article 450 of the Law N˚ 87.010 of August 1st,1987, a married woman needs an authorization from her husband to operate any activity including starting a business.
    However, if the husband denies the authorization to his wife, the court of peace can give it to her. The husband's authorization is general, but he reserves the right to reverse it.

    At the One stop shop, companies fill in a “formulaire unique” in order to register with the Commercial Registry and for tax with the Direction Générale des Impots

    The following documents must be filed:
    • Identity card or passport (one copy).
    • Completed BA form
    • Notarized Articles of Association.
    • A signed declaration from the manager certifying that he has never been arrested by the police.
    • Declaration of conformity to the law, dated and signed by each founder.
    • Letter addressed to the divisional clerk of the Commercial Court (Tribunal de Commerce).
    • Marital consent letter if the founder is a woman.

    The BA form can be downloaded through the website www.guichetunique.cf, and the documents can be sent through email. However, most companies do not use this service and it is still required to go in person to the GUFE to pay the required fees.

    Deposit the capital amount in the bank

    OHADA Uniform Acts entered into force on September 12, 2012. According to Article 311 of the OHADA Uniform Act on the General commercial Law, a minimum capital of XAF 1,000,000 is required to be paid prior to business incorporation.

    Declare the establishment of the company with the National Office of Employment (l’Office National de l’ Emploi, ONEM)

    According to Article 216 of the Labor Code, any physical or legal person planning any activity that requires the hiring of workers must notify the Labor Inspection Department and the National Bureau of Employment within 15 days of the start of business. The declaration is filed in a single form, with one specimen sent to the Inspectorate of Labor and another two to the Office of Employment.

    After the Ministry of Labor receives the declaration of commencement of activities, the Ministry can send inspectors to check if the company is in conformity with employment legislation.
